SMS Nexus Terms and Conditions
1. Eligibility criteria
Membership of SMS Nexus is open to former consulting and administrative employees of SMS Employees Pty Ltd (SMS) who:
1.1 Were employed by the company at any time since its inception for a minimum period of 12 months
1.2 Departed from SMS in good standing
1.3 Agree to the SMS Nexus Terms and Conditions and abide by the SMS Nexus Code of Conduct (see item 5 below)
Note: Clause 1.1 can be waived by the relevant Regional Director or Managing Director.
2. Membership exclusions
2.1 Former employees of the M&T Resources division of SMS will not be included in the Alumni program unless approved by M&T Resources Director, Paula Johnston.
2.2 Any former employee who has taken legal action against the Company will not be eligible to participate in the Alumni program.
2.3 Any former employee who has attempted to harm the company, its people or reputation will not be eligible to participate in the Alumni program.
3. Exiting SMS Nexus
3.1 A member of SMS Nexus can exit the program at any time by advising the Alumni Manager via email or other written notice. Once exited, the former employee will no longer receive SMS Nexus communications, event invitations, special offers or other member benefits.
3.2 Membership of SMS Nexus can be terminated by the company at any time if it suspects a breach of the Code of Conduct.
4. SMS Nexus Code of Conduct
SMS Nexus is founded on a commitment to honesty, integrity and professionalism. SMS Nexus is intended to provide a forum through which an ongoing, mutually beneficial relationship between SMS (the Company) and its former employees (Alumni) can be fostered. For SMS Nexus to achieve this objective, obligations and responsibilities must fall equally on the Company and each of the former employees who participate in the program. To that end:
SMS and its current employees will:
- Respect every former employee’s dignity, rights, freedoms and individual needs;
- Periodically, through events and other fora, provide a safe, professional and welcoming environment where former employees can meet free of obligation;
- Recognise and respect the work choices of each former employee;
- Reinforce the Company’s commitment to the highest standards in business and professional ethics through the relationship with former employees;
- Uphold the principles of equal opportunity;
- Ensure that the confidentiality of former employees’ personal details is protected;
- Communicate regularly in a clear, professional and informative manner with former employees;
- Uphold the Company’s three values (add value, maintain unity, enhance reputation) in dealings with former employees;
- Obey the law.
Former employees who are members of SMS Nexus will:
- Treat SMS, SMS clients, SMS staff and fellow former employees with honesty, courtesy and respect;
- Respect and safeguard the property of the Company, current employees and fellow former employees;
- Maintain confidentiality of all Company or other parties’ information gained through the membership of SMS Nexus;
- Not make disparaging comments about the Company, its current / former employees, or clients in any public forum;
- Not attempt to elicit the departure of any current employees or clients from the Company;
- Behave in an appropriate professional, business-like manner at all SMS Nexus events;
- Not use any information provided by SMS Nexus to harm the Company, or be detrimental to the Company in any way;
- Obey the law.
Rules for Online Conduct
You agree to use the website in accordance with all applicable laws. You agree that you will not use the website for organised partisan political activities. You further agree that you will not e-mail or post any of the following content anywhere on the Site, or on any other SMS computing resources:
- Content that defames or threatens others
- Statements that are bigoted, hateful or racially offensive
- Content that discusses illegal activities with the intent to commit them
- Content that infringes another's intellectual property, including, but not limited to, copyrights, trademarks or trade secrets
- Material that contains vulgar or obscene language or images
- Advertising or any form of commercial solicitation
- Copyrighted material, including without limitation software, graphics, text, photographs, sound, video and musical recordings, may not be placed on the Site without the express permission of the owner of the copyright in the material, or other legal entitlement to use the material.
Although SMS does not routinely screen or monitor content posted by users to the Site, SMS reserves the right to remove content which violates the above rules of which it becomes aware, but is under no obligation to do so.
Finally, you agree that you will not access or attempt to access any other user's account, or misrepresent or attempt to misrepresent your identity while using the website.
3. Use of Materials and Information
You may download, store in cache, display, print and copy a single copy or part of a single copy of information or material from this site only for your personal, non-commercial use and only in an unaltered form.
Information or material from this site may be used for the purposes of private study, research, criticism or review, as permitted under the Copyright Act 1968 (Commonwealth of Australia) and may only be reproduced as permitted under that Act.
Any permitted reproduction made must acknowledge the sources of any selected passage, extract, diagram or other information or material reproduced. Any reproduction made of the information or material must include a copy of the original copyright and disclaimer notices.
SMS’s trademarks may not be used without express written permission from SMS. All other trademarks, brands and trade indicia remain the property of their respective owners.
4. Limitation of Use
You may use SMS Site for legal purposes only. Furthermore, you agree that, if a third party claims that any material you have contributed to the website is unlawful, you will bear the burden of establishing that the material complies with all applicable laws. SMS has the right to remove material from the website, block access, or take other action with respect to the Material in its sole discretion, although SMS is under no obligation to do so. You may not use SMS computing resources or website to disseminate unsolicited advertising or promotional material of any kind.
5. Links to Other Websites
This website contains links to other websites which are external to SMS. It is the responsibility of users to make their own decisions about the accuracy, currency, reliability and correctness of information contained in the linked external websites.
Linkage to external websites should not be taken to be an endorsement or a recommendation of any third party products or services offered by virtue of any information, material or content linked from or to this site. Users of links provided by this site are responsible for being aware of which organisation is hosting the site they visit.

If you use the Nexus website, you are responsible for maintaining the confidentiality of your account and password, if any, and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You agree that billing and registration information you provide on the website will be accurate and complete. SMS and its affiliates reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.

The website may contain errors and omissions. We reserve the right to correct errors or omissions without prior notice.
11. General
These Terms constitute the entire agreement between you and SMS and its affiliates with respect to the subject matter herein and supersedes any and all prior or contemporaneous oral or written agreements.
